These Terms of Service explain the rules for using Teton Web's website, client portal, and services. They are written to be read — if anything is unclear, ask us and we will explain it plainly.
1. Agreement to Terms
These Terms of Service (“Terms”) are an agreement between you and Teton Web Ventures LLC, an Idaho limited liability company doing business under the assumed business name Teton Web (“Teton Web,” “we,” “us,” or “our”), based in Idaho Falls, Idaho. They govern your use of our website at tetonweb.com, our client portal, and the services we provide.
By accessing our website, creating an account, or purchasing our services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company. If you do not agree to these Terms, do not use our website or services.
If you have a separately signed proposal, statement of work, or service agreement with Teton Web, the terms of that agreement control to the extent they conflict with these Terms.
2. Our Services
Teton Web provides website design, development, hosting management, and ongoing web management services, typically delivered as a subscription. Depending on your plan, this may include unlimited change requests handled through your client portal, uptime monitoring, security scans, performance optimization, content updates, and automated backups.
The specific scope, deliverables, timelines, and pricing for your engagement are defined in your proposal or subscription plan. We may improve, modify, or discontinue features of the client portal or our internal tooling at any time, provided doing so does not materially reduce the services you are paying for.
3. Accounts and the Client Portal
Some services require an account in our client portal. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@tetonweb.com if you suspect unauthorized use of your account.
You agree to provide accurate, current information when creating an account or submitting requests, and to keep that information up to date.
4. Subscriptions, Fees, and Payment
- Fees. Fees for subscriptions and project work are stated in your proposal, invoice, or plan description. All fees are in U.S. dollars unless stated otherwise.
- Billing. Subscription fees are billed in advance on a recurring basis (monthly or as otherwise agreed). Invoices are due on the terms stated on the invoice.
- Late payment. If an invoice remains unpaid past its due date, we may suspend services until the balance is settled. We will always communicate before suspending anything.
- Taxes. Fees do not include taxes. You are responsible for any applicable sales or use taxes, excluding taxes on our income.
- Changes.We may change subscription pricing with at least 30 days’ written notice; changes take effect at your next renewal.
5. Your Content and Responsibilities
You retain ownership of all content you provide to us — text, images, logos, product data, and other materials (“Client Content”). You grant us a license to use, host, copy, and display Client Content as needed to provide the services.
You are responsible for ensuring that:
- You own or have the necessary rights to all Client Content you provide.
- Client Content does not infringe any third party’s intellectual property, privacy, or other rights, and does not violate any law.
- Your website’s use — including any products or services sold through it — complies with laws applicable to your business.
6. Intellectual Property
Upon full payment, you own the final website deliverables created specifically for you — the design, page content, and site-specific code — as set out in your proposal or service agreement.
Teton Web retains ownership of its pre-existing tools, frameworks, templates, internal systems (including the client portal), and general know-how. We grant you a perpetual, non-exclusive license to use any of these that are embedded in your delivered website. Third-party and open-source components remain subject to their own licenses.
Unless you ask us not to, we may reference your project (name, logo, and screenshots) in our portfolio and marketing materials.
7. Acceptable Use
You agree not to use our website, portal, or services to:
- Violate any law or the rights of others.
- Transmit malware, spam, or other harmful or deceptive material.
- Attempt to gain unauthorized access to our systems or interfere with their operation.
- Misrepresent your identity or affiliation.
We may suspend or terminate access for violations of this section, with notice where practical.
8. Third-Party Services
The services rely on third-party providers — for example, hosting infrastructure, domain registrars, payment processors, and email delivery services. We choose these providers carefully, but we do not control them, and we are not responsible for their outages or actions. Your use of third-party services connected to your website (such as a payment processor) may be subject to that provider’s own terms.
9. Warranties and Disclaimers
We warrant that services will be performed in a professional and workmanlike manner. If you are not satisfied with delivered work, tell us and we will keep refining it in line with our satisfaction commitment and your plan’s scope.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE WEBSITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT YOUR WEBSITE WILL ACHIEVE ANY PARTICULAR TRAFFIC, RANKING, OR REVENUE RESULT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TETON WEB’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.
Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud or willful misconduct.
11. Indemnification
You agree to defend and indemnify Teton Web against third-party claims arising from Client Content you provide, your use of your website in violation of law, or your breach of these Terms. We agree to defend and indemnify you against third-party claims alleging that materials we created for you (excluding Client Content and third-party components) infringe that party’s intellectual property rights.
12. Term and Termination
Subscriptions continue until canceled. You may cancel at any time; cancellation takes effect at the end of your current billing period, and fees already paid are non-refundable except as required by law or stated in your plan.
Either party may terminate for material breach if the breach is not cured within 15 days of written notice. Upon termination, we will provide reasonable assistance to export your website content, and any provisions that by their nature should survive (including payment obligations, intellectual property, disclaimers, and limitations of liability) will survive.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Idaho, without regard to its conflict of laws rules. Any dispute arising out of these Terms will be resolved in the state or federal courts located in Bonneville County, Idaho, and both parties consent to the jurisdiction of those courts. Before filing any claim, both parties agree to attempt in good faith to resolve the dispute informally.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last updated” date above, and for material changes we will make reasonable efforts to notify active clients by email or through the client portal. Continued use of the website or services after changes take effect constitutes acceptance of the updated Terms.
